CriticsRant.com is committed to protecting your privacy. This Privacy Statement ("Privacy Statement") describes all of the information handling practices for the web site located at www.CriticsRant.com (the "Web Site"), including how we handle personal information we may obtain when you use the Web Site, and how we may share it. This Privacy Statement does not apply to information we may obtain through other means, including offline or online in another forum, such as elsewhere at other WebYES!-owned web sites. This Privacy Statement is effective upon acceptance in registration for new registering users, and is otherwise effective on November 8, 2006 for all users.

OVERVIEW

The Web Site delivers, posts and contributes opinions of users in regards to media entertainment as well as promotions on behalf of online and offline companies (our "Clients") to registered consumers ("you", "your" or "Members") of our Web Site.

Mission Statement:

Get off the couch and say something! Critics Rant is a destination to rant, chatter and share your opinions about all your favorite shows. Critics Rant is the online water cooler to talk about “what happened last night…”

Collection of Your Information

We refer to information that identifies an individual as "Personal Information." In general, CriticsRant collects Personal Information from users of CriticsRant iin connection with access to certain online areas or services, including during (i) registration for certain online community services and tools such as message boards, chat rooms or other community services; (ii) registration for special communications, such as email updates and newsletters; (iii) subscription registration; (iv) user surveys; (v) events, sweepstakes, contests or promotions; and (vi) registration for online multi- or single-player gaming, either through the CriticsRant or a Critics Rant Partner. Your Personal Information is stored on CriticsRant computer servers (or those of its service providers) located in the United States.

We may gather navigational, click stream data that indicates the areas of CriticsRant you visit or access. This navigational data does not identify you as an individual user (i.e., based on your PII). We may enter into agreements with outside companies that possess the technology that allows CriticsRant to customize the advertising and marketing messages you receive on CriticsRant. Your non-PII and click stream data about your activities on CriticsRant may be shared with these companies so this customization can be accomplished. Anonymous click stream and demographic information may also be shared with CriticsRant's advertisers and business partners. We also use and share navigational data in aggregate, non-personal form in order to understand how our users as a group use CriticsRant.
Please keep in mind that whenever you voluntarily disclose personal information in public areas of CriticsRant such as the member home pages and message boards, your information can be viewed and possibly used by others. We advise users to be especially careful in such public areas about disclosing Personal Information, such as full name, home address, or phone number. Below are more details about the Personal Information we, or third parties may gather from you and how we may use it. Information Collected to Subscribe to the CriticsRant Website, Newsletter and Promotions:
To set up your CriticsRant' membership, you will need to provide certain contact information. The requested information may include any combination of data such as your name, mailing address, e-mail address, phone number, username, and/or password, amongst other contact information requirements. This basic information is required if you wish to enroll on the Web Site. The registration form information requests may change from time to time. We may append additional data we obtain from our other owned web sites or third parties to your enrollment information for analysis and marketing purposes. This information will also allow us to provide better, more relevant content and offers to you.

Information Collected During Use of the Web Site.

When you select an advertising offer on the Web Site or subscribe to our newsletter or sign up for a promotion through the CriticsRant service from one of our Clients, we will collect certain personal information as well as possibly financial information (such as your credit card number) to permit you to complete your action. This Client-requested information will only be provided to the specific sponsor of that offer, and only if you submit that offer. If you have consented to receive e-mails from us, we also collect information relating to your e-mail response data to enable us to provide more timely, relevant offers and products.

Information Collected for Family and Friends Network.

You may use our Family and Friends service to notify your family and friends about the Web Site. We will collect your name and e-mail address, and the name and e-mail address of your family member or friend, and will use that information to automatically send a one-time e-mail inviting your family and friends to visit us and learn about www.CriticsRant.com. It is possible that we may have also obtained your family member or friend's e-mail address from another source, for example directly from your family member or friend, or from one of our business partners. At the time we send the e-mail notifying your family members or friends about the CriticsRant website and newsletter, we will provide your family members and friends with the opportunity to opt-in to receiving future messages from us. If your family members and friends fail to opt-in, they will not receive further messages from us. Your family members' and friends' information will be removed from our database if they fail to opt-in.

Information Use and Sharing

Generally. When you become a CriticsRant' Member, we use your enrollment information and activity data to manage your account.

Use of Information to Notify You About latest entries, updates, promotions, products and services. We may use your information to inform you of other products or services available from the CriticsRant services by making opportunities available to you on our Web Site, by postal mail and, unless you opt out of receiving them, by e-mail. We may also send you offers tailored to your interests, as well as information about us, about our products and services, and about special offers such as sweepstakes or other promotions. Sometimes, we send offers via e-mail to selected groups of members on behalf of our participating merchants. When we do this, we do not give the participating merchants your name and address. If you do not want to receive e-mails we send on behalf of our participating merchants, you may opt out of receiving them as detailed in the Opting Out of Marketing E-mail Messages section below.

A. Email Newsletters. CriticsRant offers email newsletters to its registered users. We will use your email address to send you only the specific newsletter(s) that you signed up for. If you want to update your email address or stop receiving a newsletter, follow the procedures to unsubscribe at the bottom of any newsletter we send you or simply visit http://www.criticsrant.com to update your preferences.

B. Membership Information. When you register for membership on CriticsRant, we will ask you for certain minimum required information, such as your name, birth date, gender, email address and zip code. We may also ask for additional information about you and your interests. We do this so we can better understand your preferences and tailor the CriticsRants to suit you better. The more information you volunteer, the more we can tailor the CriticsRant and promotions to your interests. Additionally, third-party service providers may require you to assent to their privacy party as a condition to receiving their service.

• Service Providers. We offer our members other services provided by third parties such as email and user pages, among others. When you register for membership on an CriticsRant or activate a related service by clicking on a particular service link (i.e. email) on an CriticsRant, you may be automatically registered to receive the services we offer and some of your Personal Information may be transferred from CriticsRant to those third-party service providers. By becoming a member, you authorize us and our third-party service providers to send you email updates and information about promotions and special offers. We take care to require that our third-party service providers only use our member's data as necessary to provide the particular service and to give you updates on that service provider's products and services.
• Co-registration with Other Sites. As a member, we offer you the ability to co-register with select third-party partner sites. In some instances where CriticsRant provides co-registration, the co-registration partners allow you to opt-out of their membership. If you choose to co-register with our partners and accept their terms of service, then you are automatically registered as a member of their select web sites and your Personal Information is transferred to those organizations. As a result, you may receive information from one of these web sites as any of their members would. We advise you to review the privacy and data collection policies of the third-party partner sites for further information. In order to cancel your membership with any of these partners you will need to go directly to the partner's site.
• Advertisers. CriticsRant may send you emails on behalf of our advertisers. If you opt to receive information from our advertisers they may use your Personal Information to send you advertisements or other notices, via email or postal mail, and it is possible that your information may be shared with others.
• Other Parties. We occasionally provide third parties with Personal Information limited only to your physical address in order to send you promotional mailings.
• Use of Information About You We Obtain from Third Parties.
• We may obtain information about you from our partner companies and other third parties in order to provide you with opportunities tailored to your interests. We may also use information obtained from our partner companies and other third parties in conjunction with member account and enrollment information for analytical and audit purposes.

C. Email Updates to Members. If you so elect at registration, we may periodically send you promotional email about products or services offered by the CriticsRants, our partners and advertisers. If you want to update your email address or stop receiving these types of promotional emails, please follow the procedures to unsubscribe at the bottom of any email we send you or simply visit http://www.criticsrant.com to update your preferences.

We may contact you regarding account status, changes to this Policy, our User Agreement or other terms of use, to confirm your registration or for any other business reason related to your use of CriticsRants.

D. Promotions. We may ask you for Personal Information at other times, including, but not limited to, when you enter sweepstakes, contests or promotions sponsored by CriticsRant or a third party. If you choose to enter sweepstakes, contests or promotions sponsored by a third party, the Personal Information you provide will be subject to the privacy policy of the third party sponsor. We encourage you to check the applicable third party policy before providing any Personal Information.

E. Surveys and User Research. CriticsRant conducts email and web-delivered surveys from time to time, as well as instant polls, to gather information about our users. Taking these surveys and polls is entirely optional. You have no obligation to respond to them. We share only the aggregate results of these surveys, not Personal Information, with our advertisers and partners to help them better understand our services and monitor the reach of their advertising or other offerings on our service. We also use some of the Personal Information that you provide in these surveys to help us understand your interests and to make the CriticsRants more useful to you.

F. Digital Identifiers

Use of Cookies. On the Internet, a "cookie" is a piece of information (a file) that a Web site transfers to a user's computer for record-keeping purposes. The use of cookies is common on the Internet. The process we use to serve advertisements and to track use of the CriticsRants involves cookies. We use cookies to recognize users who have already registered for an CriticsRant, allowing those users to speed up their future activities on the CriticsRants. Cookies help CriticsRant and our advertising service (discussed below) track the frequency and placement of advertisements. Cookies also enable us to measure aggregate (total) usage and traffic to the CriticsRants and to specific offerings. This aids us in producing content that best meets our users' preferences. Web Beacons.

The Web Site's pages and/or HTML e-mails may contain electronic images (called "web beacons", "single-pixel GIFs", or "action tags") that allow us to count users who have visited a certain web page or opened an e-mail, conduct research on partner and Client web sites for auditing purposes, or to access your www.CriticsRant.com "cookie" to identify you when on third party web sites. Using web beacons allows us to personalize your experience by tailoring advertisements, updates, and other offers to your particular interests, and measuring the marketing effectiveness of our e-mail communications.

Web beacons collect only a limited set of information including a cookie number, time and date of a page view, and a description of the page on which the web beacon resides. Information recorded through these web beacons may be used to report aggregate demographic or usage information about Members to our Clients, or user-level usage information to our Third Party Processors. The Web Site's web pages may also contain web beacons placed there by third parties to help determine the effectiveness of our joint promotional or advertising campaigns. No personally identifiable information about you is shared with a Client or Third Party Processors except as otherwise set forth in this Privacy Statement.

G. Purchase of Products or Services. When you purchase products or services from or through the CriticsRants we may require Personal Information such as name, address, telephone number and billing information, including credit card, debit card or bank account data. CriticsRant will not disclose your Personal Information, including billing information, except to the extent necessary to complete your transaction, for example during an online purchase or where needed to deliver a product or service you ordered.

H. Software Updates; Interactive Material. CriticsRant automatically updates software used in conjunction with certain of the services available on the CriticsRants. In order to update this software, CriticsRant collects a user's current version information from the user's computer. This information is not archived and is only used to determine which software requires updating. CriticsRant may record audio conversations or copy text chat or video images from chat rooms on the CriticsRants and may disclose such material for use in connection with promoting the CriticsRants.

I. Sites You Visit. As you access our Partner Sites and browse around the CriticsRants, CriticsRant may store information about which pages and which Partner Sites you visit and other information presented in your browser's URL address line. CriticsRant will use this information to help determine what our users are most interested in.

J. Sharing Non-Personal Information. CriticsRant may share information that is not Personal Information -- meaning non-personal, aggregate, or summary, information regarding our users -- with other third parties not mentioned in this Policy. This kind of information does not identify you individually.

K. Merger or Acquisition. In the event of a merger, acquisition, reorganization, sale of all or substantially all of its assets, or the sale of an individual website owned by CriticsRant, CriticsRant may transfer your Personal Information to a third party as a part of such merger, acquisition, reorganization, or sale.

L. Legal Authorities. We may also disclose Personal Information in cases when we reasonably believe that it is necessary to identify someone who may be violating CriticsRant policies or CriticsRants" User Agreements or other terms of use, or who may be a threat to CriticsRant or third party rights, property, or personal safety. The CriticsRants may disclose Personal Information to comply with valid legal process such as a duly issued search warrant, subpoena or court order.

M. Third Party Ad Servers.

We may serve advertisements within our Web Site either ourselves or by allowing other companies, called third-party ad servers or ad networks, to do so. In addition, some of our advertisers may use the services of third-party ad networks. Some of these third-party ad networks may place a persistent cookie on your computer. Doing this allows the third-party ad network to recognize your computer each time they send you an online advertisement. In this way, third-party ad networks may compile information about where you, or others who are using your computer, saw their advertisements and determine which ads are clicked on. This information allows a third-party ad network to deliver targeted advertisements that they believe will be of most interest to you. We do not have access to or control of the cookies that may be placed by the third-party ad servers or third-party ad networks. N. CHILDREN/MINORS

The Web Site will automatically block enrollment of any person once they indicate they are under the age of 13. If we later learn that a user is under the age of 13, we will terminate the account and delete the user's information. Inherent in the CriticsRant program is the responsibility of parents and/or guardians to ensure that their children's privacy is protected.

We disclaim and you agree that we will not be liable to you for any damages caused by acts or events beyond our reasonable control including, without limitation, acts of God, fires, floods, acts of terrorism, wars, civil disturbances, sabotage, accidents, labor disputes, governmental actions, and failures or delays of transportation that result in our disclosure of your personally identifiable information.

We reserve the right, at any time and without notice, to add to, update, change, modify or revise this Privacy Statement, the Site or our services simply by posting such change, update or modification on the Site. Any such addition, update, change, modification or revision will be effective immediately upon posting. If we materially change how we use your personal information, we will notify you via e-mail.

ACCESS AND OPTIONS

Accessing and Updating Your CriticsRant' Data.

You may access and update information stored in your account profile by visiting the "My Account" page on the Web Site. Please keep your contact, account, and preference information up-to-date. It is your responsibility to update and maintain accurate contact information in your account. You can make changes by visiting your account page and entering corrections. E-mail and street addresses that are entered into a member's personal profile page are the addresses that will be used for all contact. You must promptly notify us via e-mail at webmaster(at)CriticsRant.com if your password is lost, stolen or used without permission. In such an event, we will change your password and update our records.

Access to Other Sites through CriticsRant

Our Partner Sites. You should be aware that when you are on an CriticsRant, you will have the opportunity to visit, or link to, other sites associated with CriticsRant. These sites are identified as our "Partner Sites". These sites are not owned or operated by CriticsRant, but are part of a larger network of sites with which the CriticsRants share content and advertising opportunities. We do not share your Personal Information with these Partner Sites.

Linking to Other Sites. You may also visit independent web sites, not owned or operated by CriticsRant, through links on the CriticsRants. Such sites are operated by external, third-party service providers. Some of these sites will have their own separate membership processes and privacy policies. We do not control sites that are operated by others and are not responsible for the information practices of these sites. Other sites may set their own cookies, collect data or solicit personal information. It is always a good idea to check the privacy policy and terms of use of any site before offering any of your Personal Information. Information Storage and Security

Your Personal Information is stored on CriticsRant computer servers (or those of its service providers) located in the United States. We protect your Personal Information with technical, administrative and physical safeguards to protect against loss, unauthorized access, destruction, misuse, modification and improper disclosure. No computer system or information can ever be fully protected against every possible hazard. But CriticsRant is committed to providing reasonable and appropriate security controls to protect our CriticsRants and all Personal Information against foreseeable hazards. Notwithstanding these security measures, please be aware that when you submit Personal Information to the CriticsRants over the Internet, the information may travel over many systems that are not under the CriticsRant's control. We take the protection of user data very seriously and to that end take reasonable safeguards to prevent interception of any Personal Information.
